By way of the Pacific Northwest and the U.S. Naval Academy, Drew (Andrew) Kellogg, joined
his uncle, Wallingford's founder and senior principal, in 2005 in preparation to shift the heavy
lifting of the firm.

While on active duty, Drew served on surface ships in the Pacific and Far East.   Nearing the
conclusion of his military service, Drew earned a MBA with a concentration in Finance from
The Johns Hopkins University.  He and his wife have two small boys and enjoy sailing on the
Chesapeake, travel and mountain sports.

To date, WCC has completed 112 transactions since company inception: while the majority of
these have been revenue cycle management companies (specifically, physician billing and
physician practice management firms), WCC has also completed the sale of numerous clinical
laboratories, several diagnostic imaging sites (MRI, CT, nuclear and conventional modalities),
and physician staffing firms.

Transactions have taken many forms to include: cash at closing, cash/notes/stock in varying
proportions or in certain past situations, all stock when the deal was structured as a pooling-of-
interests (in the case of a publicly-traded acquirer).  We have structured payouts over time
tied to the selling company’s performance subsequent to the closing (an “earn out”
arrangement) when that format was appropriate.  In all cases, the deal structure was
specifically designed to best address the needs of our client, who can be either the seller or
buyer in a transaction.
